Piper Sandler Advises PTTGC on Advent's Acquisition of Allnex

The Valence Group at Piper Sandler & Co. announced today that it advised PTT Global Chemical Public Company Limited on its acquisition of Allnex, a leading global specialty chemical company focused on industrial coating resins, from Advent International for an enterprise value of €4.0 billion (approximately $4.75 billion). The company has about €2 billion in sales, an EBITDA margin of 17-19%, and a global production network of 33 cutting-edge manufacturing sites in 18 countries, 23 research and technology centers, and approximately 4,000 people globally. Allnex was initially created by combining Cytec Coating Resins and Nuplex. The majority of its manufacturing network is in Asia, while its corporate headquarters are in Frankfurt, Germany.

Allnex's acquisition is subject to regulatory approval and is anticipated to close in the fourth quarter of 2021.
PTTGC retained Piper Sandler as its exclusive financial adviser in connection with its purchase of Allnex.

TATA CHEMICALS EUROPE OPENS UKS LARGEST CARBON CAPTURE PLANT

Tata Chemicals Europe opened the UK's first industrial scale carbon capture and usage plant today, signalling a key milestone in the race to meet the UK's net zero targets. The £20 million investment has been completed by UK-based Tata Chemicals Europe, one of Europe's leading producers of sodium carbonate, salt and sodium bicarbonate. The plant captures 40,000 tonnes of carbon dioxide each year - the equivalent to taking over 20,000 cars off the roads and reduces TCE's carbon emissions by more than 10%. The project will help unlock the future of carbon capture as it demonstrates the viability of the technology to remove carbon dioxide from power plant emissions and to use it in high end manufacturing applications. In a world-first, carbon dioxide captured from energy generation emissions is being purified to food and pharmaceutical grade and used as a raw material in the manufacture of sodium bicarbonate which will be known as Ecokarb®. This unique and innovative process is patented in the UK with further patents pending in key territories around the world. The carbon capture plant, which was supported with a £4.2m grant through the UK Department of Business, Energy and Industrial Strategy's ("BEIS") Energy Innovation Programme, marks a major step towards sustainable manufacturing which will see TCE make net zero sodium bicarbonate and one of the lowest carbon footprint sodium carbonate products in the world. These are used to make essential items like glass, washing detergents, pharmaceutical products, food, animal feed and in water purification. "The completion of the carbon capture and utilisation plant enables us to reduce our carbon emissions, whilst securing our supply of high purity carbon dioxide, a critical raw material, helping us to grow the export of our pharmaceutical grade products across the world. Nippon Shokubai and Arkema: a Strategic Partnership to Mass-produce LiFSI Electrolyte Salts for a European Battery Supply Chain

Nippon Shokubai and Arkema are joining forces to launch feasibility studies and establish a joint venture for the construction of an industrial plant for the production of LiFSI ultrapure electrolyte salts, a key component of battery cells for electric mobility. Ultrapure and high performance LiFSI electrolyte salts, a key component of car battery cells, will speed up the development of new electrolyte formulations for the next generations of batteries, including semi-solid and solid state batteries, by significantly increasing their power, stability, cycle life and recyclability, while reducing charging time in high or low temperature conditions. This industrial project will support the development of the European battery value chain and participate in the global need for carbon-neutral mobility. Combining Arkema’s fluorochemicals expertise and Nippon Shokubai’s unique know-how in the industrial-scale production of high-purity LiFSI, both partners have joined forces in a strategic partnership that has led to the development of an innovative and integrated process. Based on this cutting-edge patented technology, a LiFSI fluorinated pilot production line has been installed on the Pierre-Bénite site and successfully came on stream in 2021. To support the exponential growth in demand for battery cell materials, Arkema and Nippon Shokubai are taking a step forward by launching feasibility studies and establishing a joint venture to enable the mass-production of LiFSI electrolyte salts at Arkema’s Pierre-Bénite site in France by end-2025. ClassOne Technology and Fraunhofer ENAS to Collaborate on Hybrid Bonding for Advanced Imaging Devices

ClassOne Technology, a leading global provider of advanced electroplating and wet processing tools for microelectronics manufacturing, today announced it is partnering with the Fraunhofer Institute for Electro Nano Systems (ENAS) on hybrid bonding techniques for heterogeneous integration of high-density pixel arrays.
