NER and Lummus Announce

New Energy Risk a wholly owned division of Paragon Insurance Group, and Green Circle, a wholly-owned division of Lummus Technology, announce a strategic partnership in which NER will serve as the preferred insurance supplier for Green Circle’s advanced waste plastic recycling technology.

Upon completing a thorough due diligence process, NER is prepared to provide technology performance insurance solutions to plant owners and operators who license Green Circle’s advanced waste plastic recycling technology. Since 2013, NER’s performance insurance has enabled the financing of over $3 billion for development of new and renewable clean energy technologies and other circular economy projects.

“NER provides an extremely valuable service to project owners looking to deploy early-stage technologies at scale through project finance,” said Greg Shumake, Managing Director of Green Circle. “They thoroughly evaluated our advanced waste plastic pyrolysis technology and are confident in its commercial viability. And as a result, it will be easier for our clients to develop bankable projects to drive a more circular economy.”

The waste plastic pyrolysis technology uses a thermochemical process for turning end-of-life plastics into a high-quality product that can be used to reduce the carbon intensity in the production of both transportation fuels and circular plastics. Green Circle is working across the sector, from Fortune 500 companies to independent project developers, to deploy technologies that close the loop of the plastic product lifecycle.

“Green Circle’s advanced waste plastic pyrolysis technology has been developed with a level of expertise and discipline that is rare,” said Brad Price, Managing Director of Technical Due Diligence at New Energy Risk. “We are proud to help accelerate the adoption of this technology by providing assurance to owners and investors that this technology will perform.”

Green Circle concentrates and expands Lummus Technology’s capabilities to capture new opportunities in the energy transition and circular economy. Green Circle is a leader in providing economically and technically sound solutions to: process solid wastes containing plastics; process various renewable bio-based feedstocks to value-added chemicals, polymers and fuels; decarbonize refinery and petrochemicals assets; and expand production of blue hydrogen and biofuels.

Marathon Oil Announces Agreement to Further Develop Equatorial Guinea Gas Mega Hub

Prnewswire | March 31, 2023

Marathon Oil Corporation through its affiliated company Marathon E.G. Holding Limited, announced it has signed a Heads of Agreement with the Republic of Equatorial Guinea (E.G.) and Noble Energy E.G. Ltd, a Chevron company, to progress the next phases (Phases II and III) in the development of the Equatorial Guinea Regional Gas Mega Hub (GMH). "We are excited about this critical milestone in the ongoing development of Punta Europa as a world-class hub for the monetization of local and regional natural gas," said Lee Tillman, Marathon Oil Chairman, President, and CEO. "This announcement builds on our successful partnership of more than 20 years with the E.G. Government, further leveraging and extending the life of E.G.'s world-class gas monetization infrastructure, including the critical E.G. LNG facility, into the next decade." Phase I of the GMH was successfully achieved with the tieback of the Alen Field to Punta Europa, which delivered first gas in February 2021. Alen gas is processed under the combination of a tolling and profit-sharing arrangement through Alba Plant LLC's onshore Liquified Petroleum Gas plant and Equatorial Guinea LNG Holdings Ltd's LNG facility. The announced HOA builds on the success of Phase I, aligning all parties on necessary commercial principles to advance Phases II and III of the GMH. More specifically, Phase II involves processing Alba Unit gas, from Jan. 1, 2024, under new contractual terms following the legacy Henry Hub-linked Alba sales and purchase agreement expiration at the end of this year. Phase II will materially increase MRO's exposure to global LNG pricing and is expected to improve the Company's E.G. earnings and cash flow significantly. Phase III of the GMH is expected to facilitate gas processing from the Aseng Field at Punta Europa facilities. Additionally, a recently established bilateral treaty on cross-border oil and gas development between E.G. and Cameroon provides other opportunities to further expand the GMH through fast-track monetization of cross-border wet gas fields. The E.G. Government, represented by the Ministry of Mines & Hydrocarbons, has taken an active role in leading the successful implementation of this GMH expansion and is committed to ensuring subsequent activities and negotiations progress in a timely manner. Beyond the commercial benefits, the expanded development also secures future fuel gas volumes for E.G.'s power generation needs, provides longer-term employment opportunities for Equatoguineans, and will positively impact the local communities' economy.  About Marathon Oil Marathon Oil Corporation is an independent oil and gas exploration and production company focused on four of the most competitive resource plays in the U.S. - Eagle Ford, Texas; Bakken, North Dakota;  STACK and SCOOP in Oklahoma and Permian in New Mexico and Texas; complemented by a world-class integrated gas business in Equatorial Guinea.

CF Industries | March 20, 2023

CF Industries Holdings, Inc. a leading global manufacturer of hydrogen and nitrogen products, announced that it has signed a definitive purchase agreement with Incitec Pivot Limited (ASX: IPL) for IPL’s ammonia production complex located in Waggaman, Louisiana. The facility has a nameplate capacity of 880,000 tons(1) of ammonia annually. Under the terms of the agreement, CF Industries will purchase the Waggaman ammonia plant and related assets for $1.675 billion. The companies will allocate approximately $425 million of the purchase price to a long-term ammonia offtake agreement under which CF Industries will supply up to 200,000 tons of ammonia per year to IPL’s Dyno Nobel subsidiary. CF Industries expects to fund the remaining $1.25 billion of the purchase price with cash on hand. “We are pleased to reach this agreement with Incitec Pivot Limited that benefits from our industry-leading ammonia production capabilities, deploys our capital efficiently and provides long-term value for both companies’ shareholders,” said Tony Will, president and chief executive officer, CF Industries Holdings, Inc. “We believe the Waggaman facility will fit seamlessly into our network, as well as our strategic focus on ammonia as a clean energy source, given its proximity and pipeline connection to our Donaldsonville, Louisiana, Complex, its distribution and logistics flexibility, and its favorable characteristics for the addition of carbon capture and sequestration (CCS) technologies to enable low-carbon ammonia production.” Ammonia produced at the Waggaman facility today is distributed ratably to three customers, including Dyno Nobel, with approximately 75% used in industrial applications. Based on the nature of the medium- to long-term offtake agreements in place with these customers, CF Industries estimates that the plant will generate gross margin per ton commensurate with its existing ammonia segment prior to synergies, which the Company expects to capture through greater capacity utilization and operational and logistics optimization. Over the last five years, CF Industries’ operational capabilities have resulted in ammonia asset utilization that is approximately 10% higher than the average utilization rate of the Company’s North American peers. Additionally, CF Industries anticipates implementing CCS at the site on an accelerated timeline, increasing its network’s low-carbon ammonia production capability, supporting Louisiana’s and the country’s climate goals, and earning 45Q tax credits for sequestered carbon dioxide. The transaction has been unanimously approved by the boards of directors of both companies and is subject to receipt of certain regulatory approvals and other customary closing conditions. Goldman Sachs & Co. LLC is serving as the financial advisor to CF Industries on the transaction. Skadden, Arps, Slate, Meagher & Flom LLP is acting as its legal advisor. Gran Tierra Energy Inc. Announces Contract Agreement for the Suroriente Block

Globenewswire | April 12, 2023

Gran Tierra Energy Inc. is pleased to announce that the Company has entered into an agreement with Ecopetrol S.A. the national oil company of Colombia, by which the parties renegotiated the terms and the duration of the contract for the Suroriente Block in the Department of Putumayo, which was scheduled to end in mid-2024. All dollar amounts are in United States dollars unless otherwise indicated. The Agreement provides an opportunity to add significant value, as well as economic life, to Suroriente by continuing its duration for 20 years from the Agreement’s effective date. The additional term of the contract allows long-term investment in infrastructure and work programs to enhance oil recovery efficiency in existing fields, and appraisal drilling to potentially prolong the life of the fields. Gran Tierra will continue to be the operator of Suroriente and is committing to a capital investment program of $123 million over a three-year period from the Agreement’s effective date, expected to be funded by Gran Tierra’s internal cash flow. The Agreement is subject to certain conditions precedent including regulatory approval by the Superintendence of Industry and Commerce of Colombia. The satisfaction of such conditions precedent will determine the Agreement’s effective date. Gran Tierra became the operator of Suroriente in March 2019 with a 52% working interest (“WI”), with Ecopetrol holding the remaining 48% WI. Since becoming the operator, Gran Tierra has been able to increase 100% gross oil production from an average of 6,203 barrels of oil per day in February 2019 to an average of 8,167 bopd during first quarter 2023, an increase of 32%. The Company has also expanded the Cohembi enhanced oil recovery (“EOR”) project, which is designed to increase the ultimate oil recovery and value of the block. Suroriente’s first quarter 2023 average production of 8,167 bopd gross (4,247 bopd WI) was its second highest quarterly average production average since second quarter 2015, despite no development wells being drilled since first quarter 2018. The Agreement further strengthens and consolidates Gran Tierra's position as a premier operator and the top contracted area holder in the Putumayo Basin and provides continuity to the Company’s long-term business relationship with Ecopetrol. Gran Tierra is the operator of 100% of its Putumayo blocks. The Agreement is also consistent with Gran Tierra's focused strategy to grow the Company's reserves and its portfolio of development and exploration opportunities in the proven, underexplored Putumayo Basin, with access to established infrastructure. By continuing the tenure of its operatorship of Suroriente, Gran Tierra expects to expand the EOR project in the block through long-term investments, which the Company forecasts to further increase value for all stakeholders. The capital commitment associated with the Agreement also aligns with the Company’s preexisting long-term plans to develop Suroriente. Gary Guidry, President and Chief Executive Officer of Gran Tierra, commented: “The Agreement represents a unique and significant opportunity in Colombia in terms of scale and upside potential while maintaining our long-term partnership with Ecopetrol in the prolific Putumayo Basin. We are excited by the opportunity to continue to develop and expand Suroriente's already successful EOR project in the N Sand zone of the Cohembi oil field. By securing the Agreement, Gran Tierra can now commit to long-term capital projects and development programs with plans of optimizing the oil recovery and value for the Suroriente Block. We believe the combination of Gran Tierra's robust operational expertise in the Putumayo Basin and Ecopetrol’s technical knowledge will continue our joint success in the Suroriente Block.” About Gran Tierra Energy Gran Tierra Energy Inc. together with its subsidiaries is a company focused on oil and gas exploration and production in Colombia and Ecuador. The Company's common shares trade on the NYSE American, the London Stock Exchange and the Toronto Stock Exchange under the ticker symbols GTE. Gran Tierra believes in creating value for all of our stakeholders through oil and gas exploration and production, capitalizing on the global operating experience of our team. We are building a record of success in Colombia and Ecuador in a transparent, safe, secure and responsible way.
