International Petroleum Corporation Announces TSX Approval for Renewal of Normal Course Issuer Bid

International Petroleum Corporation is pleased to announce that the Toronto Stock Exchange has approved IPC's notice of intention to renew the Corporation's normal course issuer bid / share repurchase program .

Under the NCIB, the Corporation is authorized to purchase, through the facilities of the TSX, Nasdaq Stockholm and/or alternative Canadian trading systems, or as otherwise permitted under Canadian and Swedish securities laws, as and when considered advisable by IPC, up to 9,333,859 common shares in the capital of the Corporation representing approximately 6.8% of the 137,842,861 Common Shares outstanding as at November 22, 2022 of IPC's "public float" over a period of twelve months commencing on December 5, 2022 and ending on December 4, 2023, or until such earlier date as the NCIB is completed or terminated by IPC.

The maximum number of Common Shares which can be purchased each day on Nasdaq Stockholm will be 25% of the average daily trading volume of the Common Shares for the 20 trading days preceding the date of purchase, subject to certain exceptions for block purchases. In addition, IPC will be limited to daily purchases of no more than 35,159 Common Shares on the TSX, being 25% of IPC's average daily TSX trading volume of 140,639 Common Shares during the six months ended October 31, 2022, subject to certain exceptions for block purchases and other prescribed exemptions available under applicable Canadian securities laws.

In connection with the NCIB, IPC has entered into an automatic share purchase plan with its designated broker to allow IPC to repurchase Common Shares when it would ordinarily not be permitted to purchase Common Shares due to regulatory restrictions and customary self-imposed blackout periods. Pursuant to the ASPP, IPC may provide standard instructions during non-blackout periods to its designated broker, which instructions may not be varied or suspended during the blackout period. Outside of any blackout periods, Common Shares will be purchased in accordance with management's discretion. All purchases made under the ASPP will be included in computing the number of Common Shares purchased under the NCIB. The ASPP has been reviewed and pre-cleared by the TSX and may be terminated by IPC or its broker in accordance with its terms, or will terminate on the expiry of the NCIB.

Any Common Shares that IPC purchases under the NCIB will be purchased on the open market through the facilities of the TSX, Nasdaq Stockholm and/or alternative Canadian trading systems, or as otherwise permitted under Canadian and Swedish securities laws, at the prevailing market price at the time of such purchase and in accordance with the applicable rules and policies of the TSX and Nasdaq Stockholm and applicable securities laws. The actual number of Common Shares that will be purchased, and the timing of any such purchases, will be determined by IPC, subject to the limits imposed by the TSX, Nasdaq Stockholm and under applicable Canadian securities laws. There cannot be any assurances as to the number of Common Shares that will ultimately be acquired by IPC. Any Common Shares purchased by IPC under the NCIB will be cancelled.

IPC believes that the purchase of Common Shares for cancellation under the NCIB represents an effective use of IPC's capital and an efficient way to return value to IPC's shareholders as part of IPC’s announced shareholder distribution framework.

IPC's previous NCIB for the purchase of up to 11,097,074 Common Shares, which commenced on December 3, 2021, will expire on December 2, 2022. As of November 22, 2022, IPC purchased an aggregate of 9,486,084 Common Shares for an average weighted price of CAD $10.69 per Common Share under that NCIB. Purchases were made on the open market and pursuant to the previous automatic share purchase plan.

Following the cancellation in November 2022 of 241,396 Common Shares repurchased by IPC under the previous NCIB, the total number of issued and outstanding Common Shares is 137,601,465 Common Shares with voting rights as at November 30, 2022, of which IPC holds 43,166 Common Shares in treasury.

TETRA Technologies, Inc. announced updates on some of the Company's strategic initiatives. TETRA announced that Hargrove has completed the Front-End Engineering Design scope of work for the development and construction of a bromine production facility from TETRA's brine leases in Arkansas. Hargrove's FEED study provided an estimated total required capital investment, within a relevant range, over an estimated 24 month-period to construct the facility; optimized process flow, and identified long lead items. In addition, also provided was an evaluation of the required capital and engineering design to maximize the project's long-term profitability and the actions necessary to reduce execution risk to support the advancement of the project towards becoming a robust bromine-producing plant. As announced previously, TETRA's brine leases are estimated to contain inferred resources of 5.25 million tons of bromine and 234,000 tons lithium carbonate equivalent. Hargrove's FEED study is part of TETRA's ongoing evaluation and initial assessment of its Arkansas brine leases, which is part of an effort by TETRA to develop bromine production to meet an existing and growing completion fluids market as well as TETRA's high purity zinc bromide electrolyte (TETRA PureFlow®) to support the projected high growth market of energy storage. During the fourth quarter, TETRA received an order for TETRA PureFlow® from a second zinc-based energy storage battery provider. In parallel to the Hargrove FEED scope of work, Lonquist & Company LLC are in the process of completing a detailed geological, reservoir and production simulation study to ensure the optimal locations for the production and injection wells to ensure the best long-term producibility and recovery of the bromine and lithium from TETRA's approximately 5,000 acres where TETRA holds the bromine and lithium mineral rights not subject to the option agreement with Standard Lithium. The reservoir modeling and well placements design are also important to support the production volumes that the Company will include in a forthcoming economic analysis. The final Lonquist report is currently targeted for completion in January 2023, after which the Company will finalize and make available an initial economic assessment. During the fourth quarter, TETRA successfully completed its first UK based CS Neptune® project. With this project, TETRA has now completed CS Neptune jobs with 100% success rates in the Gulf of Mexico, Norway and the UK. The European projects are smaller in size to those previously completed in the Gulf of Mexico but demonstrate the successful application of this zinc-free environmentally-friendly completion fluid. TETRA also completed an acquisition of a completion fluids business in the U.K. and is in the final stages of completing an additional acquisition to expand its deepwater position in the Gulf of Mexico. Although smaller in size, both acquisitions will immediately grow TETRA's market position and growth capacity in both key offshore markets. Also in the fourth quarter, TETRA has obtained exceptional preliminary results from its first desalination of produced water for beneficial re-use pilot project in Texas for a major oil & gas producer. TETRA has partnered with this major U.S. shale producer for its first pilot using TETRA's proprietary pre-treatment process combined with osmotically assisted reverse osmosis technology where TETRA has an exclusive agreement for oil and gas applications. The results have yielded as high as 92% de-salinated water from the produced water with total dissolved solids levels ranging from 200 ppm to 40 ppm. For comparison, the typical average municipal tap water contains between 300 ppm to 400 ppm. The trial was recently completed and the equipment field and operational learnings will be used for a final commercial plant design. TETRA"S CEO Brady Murphy stated, "I am pleased with the progress we have made this year by strengthening our position in key markets for an expected multi-year offshore upcycle while making significant R&D and engineering progress for lithium extraction and bromine production from our Arkansas Smackover brine leases. Aduro Announces Completion of Mechanical Assembly of its R2 Plastic Reactor

Aduro Clean Technologies Inc. a Canadian developer of patented water-based technologies to chemically recycle plastics and transform heavy crude and renewable oils into new-era resources and higher-value fuels, announces it has completed construction and mechanical assembly of its pilot-scale Hydrochemolytic™ continuous flow plastic reactor. Plans for testing and certifications are in place and final certification by the Technical Standard and Safety Authority is progressing with registration expected later this month. Once certified, the reactor unit will be moved to the newly expanded laboratory in London, Ontario for final testing and commissioning. The R2 Plastic unit is the Company’s customer engagement unit and is designed to handle various plastic feedstocks such as polyethylene, polypropylene, and polystyrene as single-stream materials, followed by a mixture of these feedstock streams. The R2 Plastic will also be used to evaluate the impact of materials found in multilayer plastics, such as paper, paper board, polymeric materials, metalized layers, and aluminum foil, effectively advancing Aduro’s plans of processing higher contaminated materials which are currently rejected by existing technologies. This is important data that will support the Company’s established scale-up and optimization program for the scaled-up pilot: R3 Plastic. In 2022, the Company undertook several projects including the construction of both the plastic upcycling and bitumen upgrading reactor units, the construction of a flash drum unit for pre-processing bitumen feedstock, and the expansion of laboratory facilities and laboratory capabilities that will centralize the Company’s resources for more efficient execution of our R&D, scale-up and commercialization plans. Completion of these projects positions the Company to execute in 2023 the R2 Reactor research and testing optimization program, the implementation of the customer engagement program and the delivery of reactor unit design, equipment procurement, fabrication, and commissioning of the scaled-up pre-commercial R3 Reactor unit.
