Hoover CS Secures Long-term Catalyst Management Agreement with ART

Hoover CS is proud to announce a multi-year agreement with Advanced Refining Technologies LLC (ART), the joint venture of US specialty chemicals and materials company W. R. Grace & Co. and US energy company Chevron, in partnership with Bahrain Petroleum Company (Bapco). Under the terms of the agreement, Hoover CS will provide ART with circular catalyst packaging and logistics solutions in support of the largest catalyst management agreement signed in Bapco’s history.

On August 11th, 2021, Hoover CS executive leadership attended the signing ceremony with Bapco’s Chairman and Chief Executive Dr. Dawood Nassif, along with senior management and executives from Bapco, ART, and Chevron Lummus Global (CLG).

Hoover CS will play a critical role in the transportation of fresh and spent catalyst to and from the United States, the Kingdom of Bahrain, and South Korea, along with specialized logistics and services, such as handling and repackaging, truck loading, and fleet management through its proprietary FleetAI technology.

In addition, Hoover CS will identify opportunities to improve circularity within ART’s supply chain, ensuring sustainability goals and net zero objectives are at the forefront of their strategy.

Kinder Morgan Acquires North American Natural Resources

Kinder Morgan, Inc. announced it has closed on the acquisition of North American Natural Resources, Inc. (NANR) and its sister companies, North American Biofuels, LLC and North American-Central, LLC. The $135 million acquisition in combined purchase price and related transaction costs includes seven landfill gas-to-power facilities in Michigan and Kentucky. Shortly following close, KMI will make a final investment decision (FID) on the conversion of up to four of the seven gas-to-power facilities to renewable natural gas (RNG) facilities with a capital spend of approximately $175 million. Pending FID, these facilities are expected to be in service by early 2024. Once complete, the facilities are expected to generate approximately 2 billion cubic feet (Bcf) per year of RNG. This acquisition and the additional investments discussed above, combined with the recent Kinetrex Energy and Mas CanAm acquisitions, will enhance the company’s vertically integrated platform that delivers differentiated solutions across the RNG value chain. The combined RNG operations will provide KMI with annual RNG generation capacity of approximately 7.7 Bcf per year once all of the RNG facilities are in service. The remaining three NANR assets, projected to produce 4.8 megawatt-hours in 2023, will further diversify KMI’s renewable portfolio by adding electricity generation to its landfill gas-to-power operations. “We are excited to continue KMI’s commitment to growing our RNG business through the acquisition of NANR’s facilities and expertise. Celanese Corporation Prices $7.5 Billion of Permanent Financing for DuPont M&M Acquisition

Celanese Corporationa global chemical and specialty materials company, priced $7.5 billion in permanent financing for the acquisition of a majority of DuPont’s Mobility & Materials business The Company announced that its subsidiary, Celanese US Holdings LLC has priced a registered offering of $7.5 billion aggregate principal amount of notes of various maturities with interest rates ranging from 5.91% to 6.38%. The Notes will be guaranteed on a senior unsecured basis by the Company and certain Celanese domestic subsidiaries, similar to prior issuances. The Offering is expected to close on or about July 14, 2022. The Company simultaneously entered into a cross-currency swap to effectively convert $2.5 billion of the US dollar denominated Notes into a euro-denominated borrowing at prevailing euro interest rates. The effective net borrowing rate to the Company will be approximately 5.6%, inclusive of the yield on the Notes and the beneficial impact of the currency swap. “We are pleased to have secured a significant portion of the permanent financing for the M&M acquisition in this first window of opportunity.
