CF Industries Holdings, Inc. Announces Agreement to Purchase Waggaman Ammonia Production Facility from Incitec Pivot Limited

CF Industries Holdings, Inc. a leading global manufacturer of hydrogen and nitrogen products, announced that it has signed a definitive purchase agreement with Incitec Pivot Limited (ASX: IPL) for IPL’s ammonia production complex located in Waggaman, Louisiana. The facility has a nameplate capacity of 880,000 tons(1) of ammonia annually.

Under the terms of the agreement, CF Industries will purchase the Waggaman ammonia plant and related assets for $1.675 billion. The companies will allocate approximately $425 million of the purchase price to a long-term ammonia offtake agreement under which CF Industries will supply up to 200,000 tons of ammonia per year to IPL’s Dyno Nobel subsidiary. CF Industries expects to fund the remaining $1.25 billion of the purchase price with cash on hand.

Ammonia produced at the Waggaman facility today is distributed ratably to three customers, including Dyno Nobel, with approximately 75% used in industrial applications. Based on the nature of the medium- to long-term offtake agreements in place with these customers, CF Industries estimates that the plant will generate gross margin per ton commensurate with its existing ammonia segment prior to synergies, which the Company expects to capture through greater capacity utilization and operational and logistics optimization. Over the last five years, CF Industries’ operational capabilities have resulted in ammonia asset utilization that is approximately 10% higher than the average utilization rate of the Company’s North American peers.

Additionally, CF Industries anticipates implementing CCS at the site on an accelerated timeline, increasing its network’s low-carbon ammonia production capability, supporting Louisiana’s and the country’s climate goals, and earning 45Q tax credits for sequestered carbon dioxide.

The transaction has been unanimously approved by the boards of directors of both companies and is subject to receipt of certain regulatory approvals and other customary closing conditions.

Goldman Sachs & Co. LLC is serving as the financial advisor to CF Industries on the transaction. Skadden, Arps, Slate, Meagher & Flom LLP is acting as its legal advisor.

Gran Tierra Energy Inc. Announces Contract Agreement for the Suroriente Block

Gran Tierra Energy Inc. is pleased to announce that the Company has entered into an agreement with Ecopetrol S.A. the national oil company of Colombia, by which the parties renegotiated the terms and the duration of the contract for the Suroriente Block in the Department of Putumayo, which was scheduled to end in mid-2024. All dollar amounts are in United States dollars unless otherwise indicated. The Agreement provides an opportunity to add significant value, as well as economic life, to Suroriente by continuing its duration for 20 years from the Agreement’s effective date. The additional term of the contract allows long-term investment in infrastructure and work programs to enhance oil recovery efficiency in existing fields, and appraisal drilling to potentially prolong the life of the fields. Gran Tierra will continue to be the operator of Suroriente and is committing to a capital investment program of $123 million over a three-year period from the Agreement’s effective date, expected to be funded by Gran Tierra’s internal cash flow. The Agreement is subject to certain conditions precedent including regulatory approval by the Superintendence of Industry and Commerce of Colombia. The satisfaction of such conditions precedent will determine the Agreement’s effective date. Gran Tierra became the operator of Suroriente in March 2019 with a 52% working interest (“WI”), with Ecopetrol holding the remaining 48% WI. Since becoming the operator, Gran Tierra has been able to increase 100% gross oil production from an average of 6,203 barrels of oil per day in February 2019 to an average of 8,167 bopd during first quarter 2023, an increase of 32%. The Company has also expanded the Cohembi enhanced oil recovery (“EOR”) project, which is designed to increase the ultimate oil recovery and value of the block. Suroriente’s first quarter 2023 average production of 8,167 bopd gross (4,247 bopd WI) was its second highest quarterly average production average since second quarter 2015, despite no development wells being drilled since first quarter 2018. The Agreement further strengthens and consolidates Gran Tierra's position as a premier operator and the top contracted area holder in the Putumayo Basin and provides continuity to the Company’s long-term business relationship with Ecopetrol. Gran Tierra is the operator of 100% of its Putumayo blocks. The Agreement is also consistent with Gran Tierra's focused strategy to grow the Company's reserves and its portfolio of development and exploration opportunities in the proven, underexplored Putumayo Basin, with access to established infrastructure. Carbon TerraVault Announces Two New Storage-Only Carbon Dioxide Management Agreements and Submission of Another Class VI Permit to the EPA

California Resources Corporation announced a storage-only Carbon Dioxide Management Agreement (CDMA) between Carbon TerraVault Holdings, LLC (CTV), a subsidiary of CRC that provides services including the capture, transport and storage of carbon dioxide (CO2), and Yosemite Clean Energy, LLC (Yosemite). CRC also announced a second storage-only CDMA between CTV and InEnTec Inc. (InEnTec). “2023 began on a good note for Carbon TerraVault as we continued to expand our carbon management storage capacity by submitting another Class VI permit to the EPA and entering into two additional Carbon Dioxide Management Agreements with reputable partners who are committed to energy transition in California,” said Mac McFarland, Chairman of the CTV Board. “We expect to receive a draft Class VI permit for CTV I by the end of the year and plan to further expand and diversify CTV’s portfolio of customers across the energy spectrum in the state of California.” Francisco Leon, CRC’s President and Chief Executive Officer, added, “We are evaluating the strategic positioning of our carbon management business which could include a potential separation from our legacy oil and gas business. The initial Yosemite Hydrogen Facility will utilize dual bed gasification technology to sustainably convert woody biomass waste from local forest and agricultural producers into syngas while the generated CO2 will be captured and then stored permanently underground by CTV. Syngas is a combination of hydrogen, methane, CO2, carbon monoxide, and other trace gases that is used to produce other fuels. California generates an estimated 50 million tons of forest and farm woody biomass waste annually, which when left to burn, decay, and decompose, emits immense amounts of greenhouse gases and black carbon, or soot, which is part of fine particulate air pollution.
